Terms of Service

Agreement Overview:

These Standard Terms and Conditions ("Terms and Conditions"), together with any Invoices ("Invoice"), collectively referred to as the "Agreement," govern the terms of sale between Shah's Halal Handmade Sauce, referred to as the "Seller," and the Buyer, as identified in the Invoice.

Payment:

  • By accepting the Invoice, the Buyer agrees to promptly pay all specified costs and fees in U.S. Dollars as outlined in the Invoice.
  • To ensure smooth processing of future orders, all payments must be made within 30 days of the invoice date. If you fail to comply with this, it may result in delays or additional charges.
  • The Buyer is responsible for any taxes, fees, or charges related to the Invoice, including but not limited to interest and penalties for late payments.
  • The Seller reserves the right to pass on any new fees, assessments, taxes, or charges imposed by governmental agencies, subcontractors, or agents.
  • In case of overdue payments, the Buyer may be subject to interest charges, calculated at the lesser of one and one-half percent (1.5%) per month or the highest amount permitted by law. Failure to dispute an invoice within one (1) month of its issuance will be deemed as acceptance of the charges.

Limitation of Liability:

  • The Seller provides no warranties beyond those explicitly stated in this Agreement.
  • No express or implied guarantees are made regarding the quality, performance, accuracy, behavior, compatibility, reliability, or use of the products. The products are provided "as is."
  • The seller explicitly disclaims any implied warranties, including merchantability or fitness for a particular purpose.
  • In no event shall the Seller be liable for any damages arising from the performance of this Agreement, including but not limited to consequential, incidental, indirect, or special damages such as lost profits or savings and lost or damaged data.

Product Descriptions:

  • While the Seller endeavors to ensure accuracy, it does not warrant that product descriptions or other content of any Shah's Halal White Sauce product or service are accurate, complete, reliable, current, or error-free.
  • If a product offered by Shah's Halal White Sauce itself is not as described, the sole remedy is to return it in unused condition for a refund or replacement.

Pricing:

  • Prices for Shah's Halal White Sauce products may vary and will be confirmed upon ordering.
  • While the Seller strives to ensure accuracy, errors may occur in pricing. If the correct price of an item is higher than the stated price, the Seller will, at its discretion, contact the Buyer for instructions before shipping or cancel the order and notify the Buyer accordingly.

Risk of Loss:

  • The risk of loss and title for all items purchased passes to the Buyer upon delivery to the carrier. It is the Buyer's responsibility to arrange for insurance coverage if desired.

Returns, Refunds, and Title:

  • Shah's Halal White Sauce does not take title to returned items until the item arrives at our facility. All returned items must be in unused condition and accompanied by a valid proof of purchase.

Export Policy:

  • Sellers are required to adhere to all applicable export and re-export laws and regulations governing goods, software, technology, and services. It is the Buyer's responsibility to comply with all relevant export laws and regulations.

Miscellaneous:

  • This Agreement is governed by the laws of the State of New York without regard to its conflict of law provisions.
  • This Agreement constitutes the entire Agreement between the parties regarding the subject matter herein and supersedes all previous communications, whether written or oral.
  • This Agreement may only be amended or waived in writing and signed by both parties. If any provision of this Agreement is deemed invalid or unenforceable by a court of law, the remaining provisions shall remain valid.
  • Any litigation arising in connection with this Agreement shall be brought exclusively in the state courts in Suffolk County, New York, or the United States District Court for the Eastern District of New York. The prevailing party in such litigation shall be entitled to recover all costs, attorneys' fees, and other expenses incurred therein.
